They are not intended for independent medical diagnosis, selecting treatment without clinical judgment, or replacing the decision-making of a qualified licensed clinician. Users must apply professional judgment before relying on any outputs.

4. User-submitted Material

You are solely responsible for the Material you submit. You confirm that:

  • you have the legal right to upload or post it,

  • it does not violate any intellectual property rights, privacy rights, or other legal rights,

  • it is not unlawful, defamatory, abusive, harassing, obscene, misleading, or otherwise harmful,

  • it is free of malware or code that could harm the Website or other users, and

  • it does not create an unreasonable technical load on our systems.

Agilis Health may remove or disable access to any Material at any time, in our sole discretion, including Material that breaches these Terms or could create legal exposure.

5. Legal and professional compliance

You also agree to comply with all privacy and confidentiality obligations applicable to healthcare professionals. Do not post or disclose personal information or personal health information of patients or any identifiable individuals. This includes direct identifiers and information that could reasonably identify someone when combined with other data.

Agilis Health may investigate suspected breaches and take appropriate action, including suspending or terminating access, reporting matters to regulators or law enforcement, and disclosing relevant records where allowed by law and our Privacy Policy.

The Website, Content, and underlying software (including design, code, workflows, and functionality) are owned by Agilis Health and/or its licensors and are protected by copyright, trademark, patent, and other laws.

10. Limitation of liability

To the maximum extent allowed by law, Agilis Health and its shareholders, affiliates, directors, managers, employees, advisors, expert committees, or representatives will not be liable for:

11. Indemnity

  • the Software has not been reviewed or approved by Health Canada, the U.S. FDA, or any other regulator;

  • not all content has been reviewed by clinical staff before inclusion in pathways; and

  • any Software output or report must be checked and validated by a licensed healthcare professional before clinical use.

14. Off-label / unlabeled indications

Agilis Health does not promote the use of drugs or devices outside approved label indications in your jurisdiction. Refer to official prescribing information for approved uses, warnings, and contraindications.

15. Termination

Agilis Health may suspend or terminate your access to the Website at any time, for any reason, without notice and without liability, to the extent permitted by law.

16. Governing law and venue

These Legal Terms are deemed to be made and performed in Ontario, Canada, and are governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any claim, dispute, or proceeding arising out of or relating to these Legal Terms or your use of the Website will be brought exclusively in the courts located in Ontario, and you submit to the personal jurisdiction of those courts.
